Amcomri agrees to buy Enerveo compliance and testing division

(Alliance News) - Amcomri Group PLC on Friday said it has agreed to buy the National Compliance & Testing division of the Infrastructure Solutions business of Enerveo Ltd, a subsidiary of electricity generator SSE PLC.

The London-based specialist engineering services and industrial manufacturing firm said its new wholly owned subsidiary GridCore Electrical Services Ltd will pay a nominal sum for the acquisition.

Amcomri said the deal provides it with an established, UK-wide specialist test and compliance operation.

It added that the purchase opens up the opportunity for it to expand its activities in the private network electrical infrastructure market.

Amcomri said the National Compliance and Testing division has an "established long standing customer base" with "significant" recurring revenue.

In the financial year to the end of March 2025, the division generated revenue of GBP5 million. Amcomri said it will acquire net assets of around GBP1.5 million on completion.

Completion is expected on or around the end of May 2026 and is conditional on customary conditions.

If the conditions have not been met or waived by GridCore where permitted by the end of July, the agreement will terminate.

As part of the transaction, Enerveo, or a member of its group, will provide transitional and managed services arrangements to GridCore.

"The acquisition of the business and assets from Enerveo's National Compliance and Testing division is an opportunity to develop a key strategic target area of the group, as well as having the potential to broaden our service offering into specialist electrical-infrastructure markets, as we continue to roll out our proven 'buy, improve, build' model," said Amcomri Chief Operating Officer Mark O'Neill.

"The acquisition and subsequent development opportunities have significant synergy potential with other established Amcomri Embedded Engineering businesses."

Shares in Amcomri closed up 3.5% at 120.00 pence in London on Friday.
