This follows the publication of the shareholderdocumentation relating to the merger on 8 October 2007. Investor Presentation A presentation has been prepared by Friends Provident and Resolution for thepurposes of the investor roadshow. The presentation will be made available atwww.friendsprovident.com/merger and at www.resolutionplc.com as soon aspracticable after this announcement. Sources and Bases Friends Provident's Components of Value The presentation includes a review of Friends Provident's components of valueand reconciles these with the value implied by the merger terms, as set outbelow: • Friends Provident's value, implied by the merger terms, is £4,154 million, based on: - the Resolution closing share price of 628p on 19 July 2007, being the day before bid speculation affected Friends Provident's share price; - Friends Provident Shareholders will receive 4 New Friends Financial Shares for every 13 Friends Provident Shares held; and - approximately 2,149.9 million Friends Provident voting shares in issue as at 19 July 2007; • As at 30 June 2007, Friends Provident's components of value included: - the published 31 December 2006 embedded values of UK Life and Pensions of £2,818 million and International Life and Pensions of £625 million; plus - Friends Provident's share of the market value of F&C Asset Management plc ("F&C") of £467 million; less - the value ascribed to corporate costs and other adjustments of £102 million; plus - the implied franchise value of £346 million, representing the difference between the value implied by the merger terms and the components of value outlined above; • Assuming a tax rate of 30% and based on the pre tax value of new business in 2006 of £204 million, the implied franchise value as a multiple of post tax value of new business is 2.4x. This compares to a multiple of 3.7x, which was implied for the Abbey new business capabilities acquired by Resolution in 2006, based upon the price paid of £100 million and the Abbey 2005 post tax value of new business of £27m (assuming a tax rate of 30%). Further analysis in the investor presentation calculates the difference betweena company's reported embedded value at a half year or full year period end andits closing market value on the date that its embedded value was announced. Thedifference is divided by the post tax value of new business (assuming a tax rateof 30%) for the 12 month period ending on the same date as the reported embeddedvalue, implying a certain multiple. The multiples implied by this analysis for: • Friends Provident are 8.3x, 1.4x, 9.9x, 2.0x, 3.5x, 3.0x and (0.4)x for the periods ending 31 December 2004, 30 June 2005, 31 December 2005, 30 June 2006, 31 December 2006, 30 June 2007 and 5 October 2007(1) respectively; and • Legal & General Group plc are 7.8x, 7.7x, 11.8x, 5.9x, 5.7x, 1.9x and 2.4x for the periods ending 31 December 2004, 30 June 2005, 31 December 2005, 30 June 2006, 31 December 2006, 30 June 2007 and 5 October 2007(1) respectively. Group Pensions The presentation outlines Friends Provident's track record of strong growth ingroup pensions in recent years, with funds under management ("FUM") representinga key driver of this growth. Friends Provident's FUM grew from £2,345 million asat 31 December 2004, to £2,872 million as at 30 June 2005, to £3,732 million asat 31 December 2005, to £4,227 million as at 30 June 2006, to £5,488 million asat 31 December 2006, to £6,653 million as at 30 June 2007. Friends Provident has also experienced strong growth in the number of members inits group pensions schemes, with this number increasing from approximately334,000 as at 31 December 2004, to approximately 338,000 as at 30 June 2005, toapproximately 428,000 as at 31 December 2005, to approximately 495,000 as at 30June 2006, to approximately 552,000 as at 31 December 2006, to approximately618,000 as at 30 June 2007. Furthermore, the number of schemes has alsoincreased by approximately 38% from 31 December 2004 to 30 June 2007. In its most recent interim results, Friends Provident reported an IRR of 9.4%for its group pensions business, which excludes the annuity value and the valueemerging in F&C to in-house asset management. Friends Provident reported PVNBPfor the six months ending 30 June 2007 of £1,298 million, of which approximatelyhalf now comes from increments and one-third is nil commission.
