Amended and Restated Final Terms dated 22 December 2014 (the "Amended and Restated Final Terms") relating to the SEK 3,000,000,000 aggregate principal amount of 0.837% Fixed Rate Notes due 2017 of JPMorgan Chase & Co. issued on 22 December 2014 under the U.S.$65,000,000,000 (in respect of Notes issued by JPMorgan Chase & Co.) and U.S.$25,000,000,000 (in respect of Notes issued by JPMorgan Chase Bank, National Association) Euro Medium Term Note Program of JPMorgan Chase & Co. and JPMorgan Chase Bank, National Association.

The Amended and Restated Final Terms should be read and construed in conjunction with the Prospectus dated September 24, 2014, as supplemented by the Supplementary Prospectuses dated October 15, 2014 and November 12, 2014 and the documents incorporated by reference therein.

The Amended and Restated Final Terms amend and restate the Final Terms dated December 18, 2014.
