Exercise of Options and Total Voting Rights

The Company announces that current and former employees exercised options on 12 August 2020 on a total of 75,477 Ordinary Shares. This follows the partial vesting of awards on the expiry of the three year performance period under the 1st Grant of the 2017 McKay Performance Share. No amount was payable on the exercise of these awards.

No Directors or PDMRs exercised options at this time.

Application has been made for the admission of the 75,477 new Ordinary Shares to listing on the Official List and to trading on the main market of the London Stock Exchange Plc. The admission of such shares is expected to become effective on 17 August 2020 ("Admission").

Following Admission, in accordance with the FCA's Disclosure and Transparency Rule 5.6.1(R) the total number of Ordinary Shares in issue will be 94,339,475 with each share carrying the right to one vote. No Ordinary Shares are held in treasury. Therefore, the total number of voting rights in the company will be 94,339,475.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in McKay Securities Plc under the FCA's Disclosure and Transparency Rules.
