EBT Transfers
The Company was notified yesterday by the trustees of the Arden Partners Employee Benefit Trust (the "Trust") that 191,667 ordinary shares of 10 pence each in the Company (the "Ordinary Shares") had been transferred back to the Trust as a result of conditions attached to the original Ordinary Share disposal by the Trust to employees not having been met. The price on transfer was 46 pence per Ordinary Share, being the original disposal price as announced on 30 January 2009.
In addition, the Trust has today received 30,915 Ordinary Shares that were purchased by certain employees as part of the 2009 Bonus Scheme. As a result of them leaving Arden, these Ordinary Shares became transferable to the Trust for nil consideration under the conditions attached to the 2009 Bonus Scheme.
Following these transfers, the Trust now holds 997,576 Ordinary Shares representing 4.1 per cent of the Company's issued Ordinary Shares.
24,394,580 Ordinary Shares with voting rights has been used as the denominator for the calculations of the interests in the issued Ordinary Share capital of Arden.
