LAMPRELL PLC("Lamprell" and with its subsidiaries the "Group")
Director/PDMR Shareholding
Lamprell today announces the following conditional share awards granted under the Performance Share Plan ("PSP") and the Retention Share Plan ("RSP"), both of which were approved at the 2021 Annual General Meeting in August 2021 ("2021 AGM"), to the executive Directors and persons discharging managerial responsibility within the Company. These awards include both an award for 2021 as part of the annual remuneration review and also a one-off grant of retention shares under the RSP to replace the awards which did not take place in 2020 due to restrictions on Lamprell's ability to make grants last year. This latter award follows shareholder approval for such replacement awards at the 2021 AGM and completion of the recent equity raise, and the award is conditional on the terms detailed in the Remuneration Policy as set out in the Company's 2020 annual report and accounts (available on our website at www.lamprell.com). The Board continues to believe that the awards are in our shareholders' best interests as being appropriate to ensure the retention and incentivisation of the senior management team to deliver the strategy and turnaround.
The awards will vest on the third anniversary of the date of grant and, in the case of the PSP, subject to achievement of performance conditions. The number of shares subject to the award is determined by using the closing middle market price of a Lamprell ordinary share on the average of the twenty dealing days up to the day prior to the date of grant, being 39.56 per share.
