Change of Auditor

PricewaterhouseCoopers LLP ("PwC") and its predecessor firm have been Berkeley's auditor since the Company first listed in 1984. In accordance with evolving best practice, the Audit Committee has undertaken a competitive tender process for the audit of the Company and its subsidiaries for the year ending 30 April 2014. Following this process, and once PricewaterhouseCoopers LLP have resigned, it is the Board's intention that KPMG LLP fills a casual vacancy in accordance with the Companies Act 2006 and to propose their appointment at the 2014 Annual General Meeting.

In accordance with statutory requirements, PwC will provide the Board with a notice in connection with its resignation and the Company will circulate this to shareholders. The Board would like to thank PwC for their constructive and professional approach to the audit of Berkeley over the last 29 years.
